License and User Content

If you are dissatisfied with any B2B-AERO.COM GmbH material, or with any of B2B-AERO.COM GmbH's terms and conditions, your sole and exclusive remedy is to discontinue using B2B-AERO.COM GmbH.
Indemnification
You agree to indemnify and hold harmless B2B-AERO.COM GmbH, its affiliates, officers, and employees from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Service or your violation of this Agreement.
Disclaimer
B2B-AERO.COM GmbH has provided links, pointers to and frames of Internet sites maintained by third parties. Neither B2B-AERO.COM GmbH, its parent or subsidiary companies, nor their affiliates operate or control in any respect any information, products or services on these third-party sites. The materials on this site and the third-party sites are provided "as is" and without warranties of any kind either express or implied. To the fullest extent permissible pursuant to applicable law, B2B-AERO.COM GmbH disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. B2B-AERO.COM GmbH does not guarantee that the functions contained in the materials will be uninterrupted or error-free, that defects will be corrected, or that this site, including bulletin boards, or the server that makes it available, is free of viruses or other harmful components. B2B-AERO.COM GmbH does not warrant or make any representations regarding the use or the results of the use of materials on this site or on third-party sites in terms of their correctness, accuracy, timeliness, reliability or otherwise.
Payment
Use of this site is granted under terms of payment agreed upon by B2B-AERO.COM GmbH and you upon initiation of your usage of this service. B2B-AERO.COM GmbH always reserves the right to change its rates and otherwise modify these Terms and Conditions by notifying you 30 days in advance of the effective date of such changes. If you wish to terminate your account due to the price increase, you, the customer will have 10 days from the date of notification of the effective increase to submit a written request to terminate service. Otherwise, the existing service will be billed at the new rate. If either party terminates this agreement, you are still responsible for any charges remaining on your account at the time of termination. B2B-AERO.COM GmbH charges for most services in advance. A service charge of 2 % per month will be charged on all past due amounts. If your account is referred to collection, you agree to pay any collection costs incurred including reasonable attorney´s fees, filing fees and court costs. Billing statements will be sent via E-mail. All credit cards will be charged automatically for each billing period established by both parties. If you dispute a valid credit card charge levied by B2B-AERO.COM GmbH, your account with B2B-AERO.COM GmbH may be disabled, and you may be charged a service fee.
Termination
B2B-AERO.COM GmbH reserves the right to terminate your access to the website or Service at any time without notice if B2B-AERO.COM GmbH believes the user is in violation of acceptable industry business practices or this Agreement. In the event of termination, you may no longer be authorized to access the website, or restrictions may be imposed on the areas of the site that you may or may not be able to access. The restrictions imposed on you with respect to material advertised on the site, downloaded from the website, the disclaimers and limitations of liabilities set forth in this agreement, shall survive.
Fraudulent Usage or Unauthorized Access to Database
Fraudulent access to the B2B-AERO.COM GmbH database will not be tolerated, and violators will be fully prosecuted permitted by law. You, or your company, promise not to access the database using a third party's username and password. If you, or your company, gains access to the B2B-AERO.COM GmbH database without a pre-authorized username and password issued to you or your company, you will be liable for damages and legal costs incurred by B2B-AERO.COM GmbH.
Other
This Terms of Service Agreement constitutes the entire agreement between B2B-AERO.COM GmbH and you with respect to the subject matter contained herein and supersedes all previous and contemporaneous agreements, proposals and communications written or oral. B2B-AERO.COM GmbH may amend or modify this Terms of Service Agreement or impose new conditions at any time. Such amendments and modifications shall be effective immediately upon notice thereof which may be given by means including, but not limited to, posting on B2B-AERO.COM GmbH. Any use of the service by you after such notice shall be deemed to constitute acceptance by you of such amendments, modifications or new conditions.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Germany. Any disputes shall be subject to the exclusive jurisdiction of the courts in Hamburg, Germany. If any provision of this agreement shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.
